The phrase “mergers, acquisitions and sales” covers a number of corporate and business transactions. The distinction between each element can become blurred, but to break it down in legal terms (in short):
Business or company merger:
A major strategic decision for any business, it involves the joining together of 2 or more companies/businesses. It usually (but not always) results in a new entity being created to house the merged companies/business. There can be many aims, but, ultimately and as with any successful business, it is all about increasing turnover, cash and most importantly profit!
Business or company acquisition:
An acquisition involves the purchase of shares in a company or the purchase of a business and its assets.
Business or company sale:
The opposite of an acquisition, it involves sale of shares in a company or the sale of a business and its assets.
The key point they all have for you is that the deal needs to be right for you. We have the experience and expertise to help you do just that, including: helping you to structure the deal, providing specialist legal advice (e.g. on property, employment and commercial contracting aspects of the deal), working with your other appointed advisors (e.g. accountants, banks, other funders and tax advisors), negotiating and protecting your interests under the legal documentation and simply (but importantly) guiding you through the process and getting the job done right and on time.
